Acceptance of Terms

By creating an account, placing a bid, consigning goods, accessing our website/app, or using any auction-related services (collectively, the “Services”), you agree to these Terms of Service (the “Terms”). If you do not agree, do not use the Services. Where a separate Membership Agreement applies, both documents govern; if they conflict, the Membership Agreement controls for membership-only terms.

Eligibility; Business vs. Consumer Use

• You must be at least 18 years old and capable of forming a binding contract.
• B2B‑only marketplace. Kura provides auctions exclusively to business buyers and resellers. Consumer purchases are not intended or permitted. We may require proof of business status before granting bidding privileges.
• We may require identity verification, KYC/AML screening, and proof of reseller status (e.g., tax/resale certificate) before bidding or selling.

Accounts & Security

• You are responsible for all activity under your account and for keeping your credentials secure.
• We may limit, suspend, or terminate accounts for violations (e.g., non-payment, suspected fraud, shill bidding, chargebacks).

Auction Formats & Bidding Rules

• Formats. Timed online auctions; (optional) live-stream auctions; (optional) fixed-price listings.
• Time Zone. Auction times are based on US/Eastern (ET); the listing countdown controls start/end.
• Bid Increments. Bids must follow the posted increment table:

• Auto/Proxy Bidding. If enabled, the system bids automatically on your behalf up to your max.
• Anti‑Sniping. If a bid is placed within the final 5 minutes, the listing will automatically extend by 5 minutes from the time of that bid.
• Tie Bids. Earliest bid (by system timestamp) prevails.
• Bid Retractions. Bids are binding. Retractions are permitted only for an obvious typographical error reported within 5 minutes of placement and before the listing closes, and only at Kura’s discretion.
• Reserve Price. We may use undisclosed reserves. If reserve is not met, we may cancel the sale.
• Shill Bidding Prohibited. No bidding by owners, consignors, or their agents to inflate price.

Listing Information; Condition & Authenticity

• Items are sold AS IS / AS DESCRIBED unless expressly stated otherwise. Pre-owned goods may show wear consistent with condition grades (e.g., A, B, C).
• We may provide third‑party authentication (e.g., Entrupy) where noted. Authentication opinions are not warranties; remedies are limited to the Return/Claims Policy below.
• Images, videos, and measurements are for reference; minor variances may occur.
• We may correct errors (typographical, pricing, condition notes) and cancel affected listings.

Pricing; Buyer’s Premium; Taxes & Duties

• Hammer/Final Price is the highest accepted bid.
• Buyer’s Premium: 5% of the Hammer Price unless the listing states otherwise.
• Other Fees: handling, insurance, storage, late-payment, and/or credit‑card surcharge where permitted.
• Taxes & Duties: Buyers are responsible for sales/use/VAT/GST and any import/export duties, brokerage, or customs fees unless otherwise stated (e.g., DDP programs). Provide valid resale certificates in advance to claim exemptions.

Payment Terms

• Payment Window: 5 days from invoice date.
• Accepted Methods: Wire/ACH. Credit cards may be accepted by prior written approval and may incur a surcharge where permitted by law.
• Non‑Payment: We may cancel the sale, suspend or terminate your account, forfeit any deposit, and/or reoffer the item. No late‑payment interest is charged, but unpaid invoices will result in loss of bidding privileges and may affect future participation.

Fulfillment; Shipping; Risk of Loss

• Pickup/Dispatch Deadline: within 7 days of cleared payment.
• Shipping: by Kura, buyer‑arranged carrier, or third party. Title and risk of loss pass upon our handoff to the buyer’s carrier per Incoterms EXW (Ex Works).
• Insurance: optional at buyer’s cost (recommended).
• International Shipments: Buyer is responsible for compliance with import/export laws and providing accurate KYC documents.

Returns; Claims; Chargebacks

• All Sales Final except for an Authenticity Guarantee where expressly stated.
• Authenticity Claims: must be submitted within 30 days of delivery and include proof from Entrupy or a recognized third‑party luxury authenticator acceptable to Kura.
• Remedies: repair, replacement, price adjustment, or refund (at our discretion).
• Chargebacks: Unauthorized or abusive chargebacks are prohibited; you agree to work with us to resolve disputes first.

Consignors & Sellers (if applicable)

• Consignors warrant good title and disclosure of restorations, major defects, and prior repairs.
• Commission/Fees: as per Consignment Addendum.
• We may photograph, describe, and market consigned items; you grant a license to use associated IP.
• We may withdraw items pre-sale for authenticity or legal reasons.

Prohibited Items & Uses

No items or activity that violate sanctions, export controls, endangered-species laws (e.g., CITES), counterfeit/gray-market restrictions, or stolen‑property rules. No scraping, bots, reverse engineering, or interference with the Services.

Intellectual Property

The Services and their content are owned by Kura or licensors. You may not use our marks or content without permission. User-submitted content (e.g., reviews) is licensed to us for Service operation and promotion.

Privacy

Our Privacy Policy located at URL explains how we collect and use personal data. Auction Addendum: bidding history, max‑bid, and payment status may be processed internally and shared with payment/fulfillment partners as needed to operate the auction. (We currently plan to use the Privacy Policy from the official site; we will revise it if auction‑specific changes are required.)

Warranties; Disclaimers; Limitation of Liability

• Except as expressly stated, the Services and items are provided “AS IS” without warranties.
• We are not liable for indirect, incidental, special, consequential, or punitive damages; our total liability is limited to the amounts you paid Kura in the 12 months preceding the claim, or the purchase price of the affected item, whichever is less.
• Some jurisdictions do not allow certain limitations; your rights may vary.

Indemnification

You agree to indemnify and hold Kura harmless from claims arising out of your use of the Services, your items, your breach of these Terms, or your violation of law or third‑party rights.

Dispute Resolution; Governing Law

• Governing Law: State of New York, U.S.A.
• Venue: Exclusive jurisdiction and venue in the state or federal courts located in New York County, New York. The parties consent to personal jurisdiction in those courts.
• Class Action Waiver: You agree to bring claims only on an individual basis.

Changes to the Services or Terms

We may update these Terms from time to time. Material changes will be posted with an updated Effective Date. Continued use constitutes acceptance.

Miscellaneous

Severability; force majeure; assignment; notices; survival; entire agreement. Failure to enforce is not a waiver.
